২(৫৭) । ফটকা কারবার
বিষয় বা প্রসঙ্গের পরিপন্থি কোনো কিছু না থাকিলে, এই আইনে,-
(৫৭) “ফটকা কারবার” অর্থ এইরূপ কোনো ব্যবসা যেইক্ষেত্রে পণ্যের ক্রয় বা বিক্রয় চুক্তি এইরূপভাবে সম্পন্ন করা হয়, যাহার ফলে পণ্য নির্দিষ্ট সময় অন্তর বা চূড়ান্তভাবে হস্তান্তরিত বা সরবরাহ না করিয়াও অন্যভাবে নিষ্পত্তি হইতে পারে, তবে এইরূপ কোনো ব্যবসা ইহার অন্তর্ভুক্ত হইবে না, যাহাতে-
(ক) কোনো কাঁচামাল অথবা পণ্য সামগ্রী উৎপাদন করিবার সময় ভবিষ্যৎ দরদাম হ্রাসবৃদ্ধি জনিত লোকসান হইতে অব্যাহতি পাইবার জন্য উহার নিশ্চিত মূল্য প্রাপ্তির স্বার্থে কোনো উৎপাদক যথাযথভাবে বিলি বণ্টন বা সরবরাহ করিবার চুক্তিতে আবদ্ধ হয়;
(খ) দরদাম হ্রাসবৃদ্ধির কারণে স্বীয় দখলীকৃত স্টক ও শেয়ারের লোকসানের আশঙ্কা হইতে অব্যাহতি পাইবার লক্ষ্যে ডিলার বা বিনিয়োগকারীর সহিত স্টক ও শেয়ারের বিষয়ে চুক্তি সম্পাদন করা হয়; এবং
(গ) অগ্রিম বাজার বা স্টক এক্সচেঞ্জের কোনো সদস্য তাহার পাইকারি ও মধ্যস্বত্ব প্রকৃতির ব্যবসার লোকসানে, যাহা উক্ত সদস্যের ব্যবসার স্বাভাবিকতায় দেখা দিতে পারে, এইরূপ আশঙ্কার প্রতিকারার্থে কোনো চুক্তি সম্পাদন করেন;
ব্যাখ্যা। - এই দফার উদ্দেশ্যপূরণকল্পে,-
(অ) পণ্য অর্থে শেয়ার বা স্টকও অন্তর্ভুক্ত হইবে;
(আ) কোনো সিকিউরিটিজে বিনিয়োগ এবং কোনো স্টক এক্সচেঞ্জে সিকিউরিটিজ ক্রয়-বিক্রয় ফটকা কারবার হিসাবে অভিহিত হইবে না;

2(61). "speculation-business" means business in which a contract for the purchase or sale of any commodity, including stocks and shares, is periodically or ultimately settled otherwise than by the actual delivery or transfer of the commodity or scripts, but does not include business in which-
(a) a contract in respect of raw materials or merchandise is entered into by a person in the course of his manufacturing or mercantile business to guard against loss through future price fluctuations for the purpose of fulfilling his other contracts for the actual delivery of the goods to be manufactured or the merchandise to be sold by him;
(b) a contract in respect of stocks and shares is entered into by a dealer or investor therein to guard against loss in his holdings of stocks and shared through price fluctuations; and
(c) a contract is entered into by a member of a forward market or a stock exchange in the course of any transaction in the nature of jobbing or arbitrage to guard against loss which may arise in the ordinary course of his business as such member;
